Terms of Service

These Terms of Service (“Terms”) are an agreement between you and [LEGAL ENTITY NAME] (“Codexgram,” “we,” “us,” or “our”), located at [NOTICE ADDRESS]. They govern your access to and use of the Codexgram mobile application and related services (the “Service”). By creating an account or using the Service after these Terms are presented to you, you agree to them. If you do not agree, do not use the Service.

1. The Service

Codexgram lets account holders create profiles, share image and video posts with captions, browse posts, follow profiles, like posts, comment, and share photo stories. Posts and profiles are available to signed-in Service users. Stories are shown as active for 24 hours. When a story’s active period ends, it is no longer returned in the active-story view; that does not mean its underlying file is immediately erased.

The Messages area currently contains sample conversations held in app memory for a session. It is not a server-backed messaging service, and calling and attachment controls do not provide calling or media messaging. Do not use it to send private or time-critical information.

2. Eligibility and accounts

You may use the Service only if you are at least [MINIMUM AGE] years old and meet the following rule for people below the age of majority where they live: [NOT ELIGIBLE / MAY USE ONLY WITH PARENT OR GUARDIAN CONSENT, IF PERMITTED BY LAW]. You must be legally able to agree to these Terms. The Service does not currently verify age; the operator must confirm the age policy and add any required age gate before launch.

You must provide accurate account information, keep your sign-in credentials secure, and promptly tell us about unauthorized account use. Authentication is provided through Clerk and may include email/password sign-up with email verification and hosted sign-in options such as Google or Apple, depending on configuration. You are responsible for activity through your account, except to the extent caused by our failure to use reasonable care or as applicable law provides.

3. Your content

As between you and Codexgram, you keep any rights you hold in the text, images, video, profile information, and comments you submit (“Your Content”). You confirm that you have the rights and permissions needed to submit Your Content and to grant the license below, including any permissions needed for people shown or heard in it.

You grant Codexgram a non-exclusive, worldwide, royalty-free license to host, store, reproduce, transmit, display, and technically process Your Content only as reasonably necessary to operate, maintain, secure, and provide the Service to you and other signed-in users. This license permits our hosting, authentication, and storage providers to process the content on our behalf for those purposes. It does not authorize us to sell Your Content or use it in advertising. The license ends when Your Content is deleted from the Service, subject to any limited retention in backups or records required by law; our actual retention periods are described in the Privacy Policy.

Other signed-in users may view, capture, or otherwise retain content they can access. You are responsible for what you choose to share. The Service does not provide an individual post-deletion control in its current implementation; deleting your account initiates removal of your profile, posts, stories, comments, likes, and follows as described below.

4. Acceptable use

You may use the Service only for lawful purposes. You must not submit content that you do not have the right to share, violate another person’s rights, use another person’s account without permission, attempt to bypass access controls, interfere with the Service or its infrastructure, or use the Service to distribute malware or commit fraud. Nothing in these Terms limits rights or activities that applicable law does not permit us to restrict.

Current technical upload limits are: image posts up to 10 MB; video posts up to 50 MB and 60 seconds; photo stories up to 10 MB; captions up to 2,200 characters; comments up to 1,000 characters; and profile bios up to 150 characters. These limits may change as the Service changes.

5. Fees and purchases

The codebase reviewed for this draft contains no paid plans, subscription, or in-app purchase flow. No current fee or refund right is represented by these Terms. If we introduce a paid feature, we will show its price, billing period, renewal and cancellation terms, and any applicable taxes before you commit to purchase, and provide any additional purchase terms required by the payment provider or applicable law. Mandatory consumer rights remain unaffected.

6. Codexgram intellectual property

The Service, including its software, design, name, logos, and materials supplied by us, is owned by or licensed to [LEGAL ENTITY NAME] and protected by applicable intellectual-property laws. These Terms give you a limited, personal, non-transferable, revocable right to use the Service for its intended purpose while you comply with these Terms. No other rights are granted. You may not copy, modify, distribute, sell, or reverse engineer the Service except where applicable law gives you that right.

7. Third-party services

The Service relies on third-party providers, including Clerk for account authentication and Convex for backend data and media storage. If you choose a third-party sign-in method, that provider also processes your interaction under its own terms and privacy practices. We do not control third-party services, and their availability or terms may change. Your use of an app store is also subject to that store’s terms.

8. No AI-generated feature

The version of the Service reviewed for these Terms does not provide an AI content-generation feature. If that changes, we will update these Terms and any related disclosures before presenting the feature.

9. Account deletion and ending your use

You may stop using the Service at any time and request account deletion through Settings → Delete Account. The request deletes the Clerk account and starts a series of background cleanup tasks for the associated profile, posts and media, stories and media, comments, likes, and follows. Cleanup may take time to finish. No specific deletion deadline or backup/log retention period is promised here; consult the Privacy Policy for the confirmed retention details.

These Terms do not describe an in-product operator suspension or content-reporting process; none was found in the current codebase. The operator should add and describe any such process only after it is operational.

10. Disclaimers

To the maximum extent permitted by law, the Service is provided “as is” and “as available,” without warranties, guarantees, or conditions, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted, secure, error-free, or permanent availability of the Service or content. This section does not exclude warranties or rights that cannot legally be excluded.

11. Limitation of liability

To the maximum extent permitted by law, [LEGAL ENTITY NAME] and its personnel will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunities arising from or related to the Service or these Terms.

Our total liability for claims arising from or related to the Service or these Terms will not exceed [LIABILITY CAP / BASIS]. These limits do not apply to liability that cannot be limited under applicable law, including [JURISDICTION-SPECIFIC NON-EXCLUDABLE LIABILITY].

12. Indemnity

To the extent permitted by applicable law, you will defend and indemnify [LEGAL ENTITY NAME] against third-party claims and related reasonable costs arising from Your Content or your material breach of these Terms. This obligation does not apply to the extent a claim results from our own unlawful conduct or cannot legally be shifted to you.

13. Changes to these Terms

We may revise these Terms when the Service or applicable requirements change. We will give reasonable advance notice of material changes through the Service or by email to the address associated with your account and state the new effective date. If you do not agree to a change, stop using the Service and delete your account before it takes effect. Continued use after the effective date means you accept the revised Terms, to the extent allowed by law.

14. Governing law and disputes

These Terms are governed by the laws of [GOVERNING LAW JURISDICTION], without regard to conflict-of-law rules. The courts located in [EXCLUSIVE VENUE] will have jurisdiction over disputes relating to these Terms, except where mandatory law gives you another forum or right. This draft does not include arbitration or a class-action waiver. Replace this section after confirming the dispute-resolution approach with counsel.

15. General

If any provision is unenforceable, the remaining provisions remain in effect to the extent permitted by law. These Terms and the Privacy Policy are the agreement between you and us about the Service, subject to any additional purchase terms shown at checkout. You may not transfer your rights or obligations under these Terms without our consent. We may assign these Terms as part of a merger, reorganization, or transfer of the Service, subject to applicable law. No waiver is effective unless made in writing.
